협동조합기본법 개정함에 있어 국민에게 미리 알려 이에 대한 의견을 듣고자 그 제정이유와 주요내용을 ｢행정절차법｣ 제41조의 규정에 의하여 다음과 같이 공고합니다.

개정안 입법예고

1. 개정이유

‘12.12월 「협동조합기본법」시행 후 수리 및 인가가 급증하면서 설립․운영 과정 중 법령 개정 소요도 동시에 증대하였고 이에 협동조합의 지속적 성장을 도모하기 위해 필요한 규정을 신설하고, 모호한 규정을 명확하게 하는 등의 개정을 하려고 함

2. 주요내용

가. 사회적협동조합 정의(제2조)

현행 법체계는 협동조합과 사회적 협동조합은 별도의 규제체계로 규율하고 있으므로 제3호의 ‘제1호의 협동조합 중’이라는 수식어는 불필요. 사회적협동조합의 정의를 명확하게 하기 위하여 동법 시행령 제12조 제1항 제1호의 사회적협동조합의 설립인가 기준의 내용을 법률에서 규정

나. 중앙행정기관 범위 지정(제2조)

중앙행정기관의 범위를 확대 또는 축소할 필요성이 있으므로 중앙행정기관에 대한 별도 정의를 두면서 추후 추가적 기관이 생길 수 있으므로 시행령 위임규정 마련

다. 유사명칭 사용 금지(제3조)

협동조합과 혼동을 초래할 수 있는 유사명칭 사용을 금지함으로써 이로 인한 피해 발생 예방

라. 협력 기관에 지바자치단체 추가(제10조)

‘공공단체’에 지자체 포함 여부에 대한 논란이 있을 수 있어 지자체를 명시

마. 교육․홍보 근거 마련(제10조의2)

협동조합의 조기 정착을 위해 교육․홍보가 중요하므로 관련 근거 마련

바. 협동조합에 관한 정책(제11조)

협동조합기본계획 수립함에 있어 관계기관 및 지자체의 협조에 대한 강제력 부여 규정 및 기본계획 포함 내용․주기를 법에 규정할 필요

사. 협동조합정책심의위원회 규정 신설(제11조의2)

현행 시행령에 규정되어 있는 협동조합정책 및 기본계획을 위한 협동조합정책심의위원회 근거조항, 위원장, 심의사항을 법률사항으로 규정

아. 신고사항 등(제15조, 제71조)

이미 신고한 사항을 변경하는 경우를 신고사항에 추가하고 시행령에 규정된 신고처리 기간 및 방법을 법률에서 명확히 함

자. 정관변경신고 절차 위임(제16조)

정관의 변경 신고 시 필요한 구체적인 절차와 방법 등에 관하여 위임규정을 두고자 함

차. 설립사무 인계 시점 명확화(제18조)

기본법 제87조 제1항 사회적협동조합의 ‘설립인가를 받으면’과 대응되도록 수정하여 사무인계 시점 명확화

카. 상속에 따른 가입 규정(제21조)

조합원 자격과 관련하여 상속에 따른 가입 규정 신설 필요

타. 출자좌수 등에 대한 제한(제22조)

1인당 출자좌수는 총 출자좌수의 30%를 ‘초과해서는’ 아니 된다고 명확화하고 출자 1좌금액을 균일하게 하도록 법으로 제한

파. 대의원에 대한 구체적 규정(제31조)

대의원 정수의 최소기준을 도입하고 대의원의 임기․선출방법․자격 등 구체적 사항을 정관에 위임

하. 임원 자격에 법인 추가(제34조)

사업자 협동조합처럼 조합원이 법인만으로 구성된 협동조합이 존재하므로 법인도 임원이 될 수 있다는 규정 필요

거. 임원결격사유 조회 근거규정(제36조)

신고의 경우 「형의실효등에관한법률」제6조의 조회사유에 해당되지 않아 신고사항인 일반협동조합 설립 시 범죄경력 등 결격사유를 조회할 근거규정 필요

너. 선거운동의 제한 규정 명확화(제37조)

범죄 구성요건이 되는 선거운동 방법을 정관에서 정하도록 위임한 것은 죄형법정주의 위배이므로 이를 법으로 규정하고 제1항 1호의 ‘가족’의 범위를 명확히 하여 분쟁소지를 최소화

더. 감사의 직무사항 규정(제42조)

감사의 직무관련사항에 대한 보다 자세한 규정을 둘 필요가 있으므로 기본법에서 규정하고 있지 못한 사항과 감사의 직무에 관하여 상법의 관련 규정을 준용

러. 임직원의 겸직금지(제44조)

제2항과 제3항이 직원과 감사 겸직 가능 여부에 대하여 상충하고 있으므로 이를 수정하고 협동조합의 정치적 중립성 제고를 위해
